The New Orleans Saints 2022 Pick 'Em Pool Challenge Presented by SeatGeek ("Challenge") is comprised of a survival pool prediction game ("Pool") and a sweepstakes ("Sweepstakes"). In the Pool, participants will have the opportunity to participate to predict a winning NFL team each week from the choices provided. Upon submitting their prediction, participants will be automatically entered into a random drawing Sweepstakes for the chance to win a prize for that applicable week.

Eligibility: The Challenge is open to individuals who, at the time of entry, i) are legal residents of the fifty (50) United States or the District of Columbia (excluding Florida, New York, and Rhode Island), and ii) have reached the age of majority in their state of residence. Employees, officers, directors, agents and representatives of New Orleans Louisiana Saints, LLC (hereafter, "Sponsor" or "Saints"), the NFL Entities (as defined below), SeatGeek, Inc., teamDigital Promotions, Inc., and each of their respective parents, affiliates, subsidiaries, wholesalers, retailers, distributors, suppliers, advertising and promotion agencies (hereafter collectively, the "Released Parties"), and each such individual's immediate family members (mother, father, sister, brother, child, husband, wife and their respective spouses, regardless of where they reside) and those living in their same households, whether or not related, are not eligible to participate or win. The National Football League ("NFL"), its member professional football clubs (other than Sponsor), NFL Ventures, Inc., NFL Ventures, L.P., NFL Properties LLC, NFL Enterprises LLC, and each of their respective subsidiaries, affiliates, shareholders, officers, directors, agents, representatives, and employees (collectively, the "NFL Entities") will have no liability or responsibility for any claim arising in connection with participation in this Challenge or the award of the prize. The NFL Entities have not offered or sponsored this Challenge in any way. Void outside of Louisiana, Mississippi, Alabama, and where prohibited by law. All applicable federal, state, and local laws apply.

Promotion Period: The Promotion starts at 8:00:00 am Central Time ("CT") on 9/6/2022 and ends at 12:00:00 pm (noon) CT on 1/11/2023 (hereafter, "Promotion Period") and will be divided into eighteen (18) entry periods (each, an "Entry Period") as indicated in the chart below. Non-winning entries received in one (1) Entry Period will not roll over or carry forward to subsequent Entry Periods.

How to Participate: To participate in the Challenge, visit https://www.neworleanssaints.com/fans/contests/ and follow the instructions to predict a winning NFL team from the list of teams provided for the applicable Entry Period ("Pool Prediction"). For Entry Periods 1-18, participants must make one (1) Pool Prediction. Each participant may only select an NFL team one (1) time throughout the Promotion Period (e.g., if a participant's Pool Prediction is the Saints for Entry Period No. 1, that participant may not select the Saints for any subsequent Entry Period). If a participant's Pool Prediction is correct for the applicable Entry Period ("Correct Prediction"), then that participant will remain in the running for the Grand Prize and will have the opportunity to select for the subsequent Entry Period. That process will continue until either the participant receives an incorrect Pool Prediction or the participant has received Correct Predictions for all eighteen (18) Entry Periods. If a participant's Pool Prediction is incorrect in any Entry Period, then that participant is eliminated from competing for the Grand Prize but is still eligible for the Consolation Prize. Each Pool Prediction will result in one (1) automatic entry into that applicable Entry Period Sweepstakes Drawing as outlined above. Regardless of the Pool Prediction outcome, participants can continue to place their predictions for each Entry Period throughout the duration of the Promotion Period for the chance to win the applicable Sweepstakes prize. Cancelled, postponed, rescheduled, or tie games will result in an incorrect prediction.

There is a limit of one (1) entry per person/email address per Entry Period. Any attempt to use multiple names or email accounts or other tactics to enter more than the stated limits may result in the disqualification of the entry by the Sponsor from the Challenge and all associated entries will be void. Entries generated by script, macro, or other automated means or with the intent to subvert the entry process will be void.

Released Parties are not responsible for late, lost, stolen, incomplete, misdirected, delayed, garbled, inaccurate, or undelivered entries, Pool Predictions, or for telephonic, human or computer failures, problems or errors, interruptions in service due to system upgrades, repairs, modifications, or other causes, failures, or malfunctions of connections, wireless service, satellite, network, cable, Internet Service Provider (ISP), cellular towers, phones/mobile device (including wireless phones/handsets or other wireless devices), interactive voice response system, phone lines or telephone systems, traffic congestion on the internet, technical or mechanical malfunctions, or other malfunctions or errors, whether caused by equipment, programming, human error, or otherwise relating to or in connection with the Challenge, including, without limitation, errors which may occur in connection with the administration of the Challenge, the processing of entries, Pool Predictions, or the announcement of the prizes, or for any injury or damage to participant's or any other person's computer or mobile phone relating to or resulting from participation in this Challenge, or for printing, typographical, human, or other errors appearing in these Official Rules or other Challenge-related materials. Sponsor reserves the right, in its sole discretion, to void any entries of participants whom Sponsor believes have attempted to tamper with or impair the administration, security, fairness or proper play of this Challenge or is in violation of these Official Rules.

Privacy: Any personally identifiable information collected during an entrant's participation in this Challenge will be collected by Sponsor and used for purposes of the proper administration and fulfillment of the Challenge as described in these Official Rules and for commercial purposes in accordance with Sponsor's Privacy Policy available at https://www.neworleanssaints.com/privacypolicy. Opting-in to specific offers and/or requests to receive further communication from Sponsor does not improve one's chances of winning.

Pool Winner Determination: Only if a participant makes a Correct Prediction during all eighteen (18) Entry Periods, that participant will be named the Grand Prize winner (subject to verification of eligibility and compliance with the terms of these Official Rules). If no participant makes all eighteen (18) Correct Predictions, no Grand Prize will be awarded; however, the participant who makes the highest number of Correct Predictions will be named the Consolation Prize winner (subject to verification of eligibility and compliance with the terms of these Official Rules).

Tie Breaker (if applicable): In the event of a tie for the Grand Prize or the Consolation Prize, then a winner will be selected in a random drawing.

Winner Selection: At the conclusion of each Entry Period (on or about the dates indicated in the above chart), one (1) Entry Period Sweepstakes prize winner will be selected in a random drawing from among all eligible entries for a total of eighteen (18) potential winners (one (1) per Entry Period). At the conclusion of the Promotion Period, one (1) Grand Prize winner OR one (1) Consolation Prize winner will be determined based on the number of Correct Predictions achieved throughout the Promotion Period. By entering, participants agree to be bound by these Official Rules and to the decisions of the Sponsor and judges, which will be final and binding in all respects. Potential winners will be notified by e-mail and may be required to execute and return an affidavit of eligibility, a liability release, and, where lawful, a publicity release within seven (7) days of date of issuance. If such documents are not returned within the specified time period, a prize or prize notification is returned as undeliverable, Sponsor is unable to contact a potential winner, or a potential winner is not in compliance with these Official Rules, prize will be forfeited and, at Sponsor's discretion, an alternate winner (or in the case of the Consolation Prize, the next runner-up) may be selected/notified. If a potential winner is at least eighteen (18) years of age but still considered an eligible minor in their jurisdiction of residence, prize may be awarded in the name of their parent or legal guardian who will be responsible for fulfilling all requirements imposed on winner set forth herein. Odds of winning an Entry Period Prize depend upon the total number of eligible entries received for each Entry Period.

Prizes: One (1) Grand Prize: If awarded, the Grand Prize winner will receive the following: i) two (2) tickets for winner and one (1) guest to attend each New Orleans Saints 2023 regular season home game played at the Caesars Superdome in New Orleans, LA; ii) a $10,000 cash prize; and iii) two (2) Saints jerseys customed for winner. Approximate Retail Value ("ARV") of Grand Prize: $20,000. NO TRANSPORTATION, PARKING, OR LODGING IS PROVIDED FOR HOME GAMES AND ARE WINNER'S RESPONSIBILITY. Grand Prize does not include Season Ticket Holder benefits, playoff tickets, and/or tickets to any game(s) played outside the 2023 regular home season at the Caesars Superdome in New Orleans, LA. Any difference between stated value and actual value will not be awarded. If winner is unable to attend any game, winner will forego that portion of the prize and no compensation or substitution will be provided for the difference in prize value. In the event a game is postponed and not rescheduled, no compensation or substitution for such portion of the prize will be provided and Sponsor will have no further obligation to winner. Date and time of games are subject to change in the sole direction of the NFL. Seat locations at any game and other details will be determined by the Sponsor in its sole discretion. Winner and guest(s) must comply with all venue rules and regulations. Failure to do so may result in forfeiture of such portion of the prize and removal from event. Released Parties and venue operator reserve the right to remove or to deny attendance to the winner and/or guest who engages in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at a game or any event. The tickets are subject to the terms and conditions specified thereon, and winner and guest agree to comply with all such terms and conditions. If unused, tickets cannot be returned, refunded, or exchanged for cash value or substitute tickets. All costs and expenses associated with the acceptance and use of the Grand Prize not specified herein as being awarded, including, but not limited to, all federal, state, and local taxes, food, beverages, souvenirs, parking, any ground transportation, and other miscellaneous expenses are winner's sole responsibility. Jersey portion of Grand Prize is not game worn and is subject to availability, size, and type, in the sole discretion of Sponsor. Customization of jersey name and number is subject to pre-approval by Sponsor.

One (1) Consolation Prize: If the Grand Prize is not awarded, then one (1) Consolation Prize winner will receive four (4) tickets (for winner and three (3) guests) and four (4) pre-game tailgate passes for a 2023 regular season New Orleans Saints home game to be determined at Sponsor's sole discretion. ARV: $2,500. NO TRANSPORTATION, PARKING, OR LODGING IS PROVIDED AS PART OF CONSOLATION PRIZE AND ARE WINNER'S RESPONSIBILITY. In the event the selected game is postponed and rescheduled, winner will receive ticket(s) to the rescheduled game. In the event the selected game is postponed and not rescheduled, and no other 2023 regular season New Orleans Saints home game is available as a substitute (as determined by Sponsor in its sole discretion), a prize of equal or greater value will be awarded at Sponsor's sole discretion and Sponsor will have no further obligation to winner. Seat locations at the game will be determined by the Sponsor in its sole discretion. Winner and guest(s) must comply with all venue rules and regulations. Failure to do so may result in forfeiture of such portion of the prize and removal from event. Released Parties reserve the right to remove or to deny attendance to the winner and/or guest(s) who engages in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at a game or any event. The tickets are subject to the terms and conditions specified thereon, and winner and guests agree to comply with all such terms and conditions. If unused, tickets cannot be returned, refunded, or exchanged for cash value or substitute tickets. All costs and expenses associated with the acceptance and use of the Consolation Prize not specified herein as being awarded, including, but not limited to, all federal, state, and local taxes, food, beverages, souvenirs, parking, any ground transportation, and other miscellaneous expenses are winner's sole responsibility.

Eighteen (18) Entry Period Prizes (one (1) per Entry Period): Each Entry Period Prize winner will receive an item in the sole discretion of Sponsor with a maximum retail value of $500. Actual value of autographed items is subject to market fluctuations. Applicable items are not game used or worn. Tickets, if applicable, are subject to the terms and conditions located thereon. All prize details are at Sponsor's sole discretion. All costs and expenses associated with the acceptance and use of the prize not specified herein as being awarded, including, but not limited to, all federal, state, and local taxes, are each winner's sole responsibility.

For all prizes: All prize details are at Sponsor's sole discretion. Prizes are awarded "as is" without any warranty or guarantee, either express or implied by Sponsor. Any difference between the stated ARV and the actual value of any prize will not be awarded in any form. The award of any prize does not indicate any endorsement, approval, or sponsorship of this Challenge by any named or implied individual or entity. Any unawarded, unclaimed, voided, or forfeited prizes will not be awarded. Maximum Retail Value of all prizes awarded: $54,000.

Miscellaneous: No transfer, assignment, cash redemption, or substitution of a prize is permitted except by Sponsor who reserves the right to substitute a prize with one of comparable or greater value, at its sole discretion. Participants agree, by entering, that: i) Released Parties and their designees may use (unless prohibited by law), participant's name, city, and state of residence, photograph, answer(s) to trivia question(s), any recording (voice, film, or video), and/or likeness for advertising, trade, and/or any other purposes in any media now or hereafter known throughout the world in perpetuity, without further compensation, permission, or notification, and (ii) the Released Parties shall have no liability and will be held harmless by participant for any claim, action, liability, loss, injury, or damage to participant or any other person or entity, including, without limitation, personal injury or death to participant or any other person or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use, or misuse of any prize and any travel or travel-related activity thereto (including, but not limited to, attendance at any game) or participation in this Challenge. Sponsor reserves the right, in its sole discretion, to modify, suspend, and/or terminate this Challenge (or portion thereof) for any reason, including should virus, bugs, non-authorized human intervention or other causes corrupt or impair the administration, security, fairness or proper play of the Challenge and, in the case of termination, at its discretion, select the winner(s) for the drawing(s) at issue from eligible, non-suspect entries received for such drawing(s), prior to the event that required such termination. CAUTION: Any attempt to deliberately damage the website or undermine the legitimate operation of this Challenge is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek any and all remedies available from any such person(s) responsible for the attempt to the fullest extent permitted by law.

Arbitration: Except where prohibited by law, as a condition of participating in this Challenge, participant agrees that (i) any and all disputes and causes of action arising out of or connected with this Challenge, or prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association ("AAA") and held at the AAA regional office nearest the Sponsor; (ii) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (iii) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, or consequential damages, or any other damages, including attorneys' fees, other than participant's actual out-of-pocket expenses (i.e., costs associated with participating in this Challenge), and participant further waives all rights to have damages multiplied or increased.

Choice of Law: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant and Sponsor in connection with the Challenge, shall be governed by, and construed in accordance with, the substantive laws of the State of Louisiana, USA, without regard to its conflict of laws principles.
